Terms of Service

This Terms of Service Agreement ("Agreement") is entered into by and between DingleInSpace / DingleOnEarth ("Artist") and the commissioning party ("Client"). This Agreement sets forth the terms and conditions under which the Artist will create low-poly vtuber models ("Services") for the Client.By commissioning the Artist, the Client agrees to be bound by the terms and conditions contained in this Agreement.Services
The Artist agrees to create low-poly vtuber models for the Client based on the specifications provided by the Client. The Client agrees to provide the Artist with all necessary information and references to ensure that the Services are completed in a satisfactory and timely manner. The Artist will deliver the product as agreed upon prior to the commission, and any requests for additional features, modifications, or changes not previously agreed upon may be subject to additional fees or declined at the Artist's discretion.Payment
The Client agrees to pay the Artist the agreed-upon fee for the Services rendered. Payment must be made in full prior to the commencement of the Services. All sales are final, and no refunds will be issued.Delivery
The Artist will deliver the completed low-poly vtuber model to the Client in the agreed-upon format and within the specified time frame.Crediting the Artist
The Client agrees to credit the Artist on any social media platforms or any other public platforms where the low-poly vtuber model is displayed or used. The credit must include the Artist's name or username and a link to the Artist's website or social media profile, as applicable.Non-Defamation
The Client agrees not to defame, slander, or otherwise disparage the Artist or the Artist's work, including but not limited to, making false or malicious statements about the Artist or their Services.Intellectual Property Rights
The Artist retains all copyrights to the created low-poly vtuber model, including but not limited to the right to reproduce, distribute, and display the work. The Client is granted a non-exclusive, non-transferable, and non-sublicensable license to use the low-poly vtuber model solely for the purpose of using it as their vtuber avatar. The Client may not sell, license, or otherwise transfer the low-poly vtuber model to any third party without the express written consent of the Artist.Modifications
Any modifications to the low-poly vtuber model must be approved by the Artist in writing. Unauthorized modifications may result in a breach of this Agreement.Termination
This Agreement may be terminated by either party upon written notice if the other party breaches any material term or condition of this Agreement and fails to cure such breach within thirty (30) days of receipt of written notice thereof.Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from this Agreement shall be resolved through negotiation, mediation, or arbitration, or, if necessary, in a court of competent jurisdiction.Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, whether written or oral, relating to the subject matter.IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above written.DingleInSpace / DingleOnEarth [Client Name]
